What this session will cover

In this interactive workshop, attendees will take on the role of the ‘Independent Expert’, guided through a post-M&A transaction dispute to reach a final determination with insights from KPMG’s forensic accounting experts and Addleshaw Goddard’s corporate disputes team.

Purchase price adjustment or deferred consideration mechanisms in M&A transactions often lead to disagreements between the parties following the deal completion. Even with the most carefully negotiated drafting—scrutinised from both commercial and legal perspectives— completion accounts and earn-out statements frequently lead to post-transaction disputes.

Against the backdrop of this growing trend, KPMG’s forensic accounting experts and Addleshaw Goddard’s corporate disputes team have drawn on recent experience to offer an immersive, hands-on session exploring a typical post-completion dispute scenario.

In this interactive workshop, attendees will step into the role of an ‘Independent Expert’ and work through a case study involving a range of issues stemming from a post-deal dispute, asking you to reach a final determination.  KPMG will be on hand to dissect the information available and help identify the key factors that will influence the outcome of the determination. Addleshaw Goddard will help you consider your approach to expert determination and will share important steps that you can take pre- and post-completion to mitigate your risks and improve your position in any dispute.
