What this session will cover

This session will provide a practical overview of corporate privilege in English law, focusing on the challenges businesses face when dealing with regulatory inquiries, investigations, enforcement, and multi-jurisdictional disputes.

How does corporate privilege work under English law? What protections can lawyers offer their clients—and where do the limits lie?

This session will explore privilege, avoiding common risks, and handling investigations involving regulators and enforcement agencies.

Topics will include:

  • How legal professional privilege (LPP) applies to corporates – what’s covered and what isn’t
  • Defining the ‘client’ under English law – why Three Rivers restricts privilege for businesses
  • The recent decision on the shareholder principle
  • Sharing information with agencies
  • Limited waivers
  • Civil vs. criminal proceedings – where the boundaries shift and how privilege is treated differently
  • Privilege and CPIA disclosure

While the session focuses on the UK, we welcome international delegates and encourage you to share challenges from your own jurisdictions before the session to cover cross-jurisdictional challenges during the session and hear from various points of view.
